1. About these terms

These Terms of Service ("Terms") govern your use of www.bulabasket.com.au (the "Website") and any purchase you make from it.

The Website is operated by ARYAN PACIFIC CO PTY LTD trading as BulaBasket.

By accessing the Website or placing an order, you agree to these Terms. If you do not agree, please do not use the Website.

We may update these Terms from time to time. The version published on the Website at the time you place an order is the version that applies to that order.

2. Eligibility

You must be at least 18 years of age to place an order through the Website.

By placing an order you confirm that you are 18 or over and that you have the legal capacity to enter into a binding contract.

Some products we sell are restricted to adults and may require age verification on delivery. See section 10.

3. Your account

You may create an account to make ordering easier. You are responsible for:

  • keeping your login details secure and confidential;
  • all activity that occurs under your account;
  • making sure the delivery and contact details you give us are accurate and current.

Tell us promptly if you believe your account has been used without your authorisation.

We may suspend or close an account where we reasonably believe it has been used in breach of these Terms.

4. Products and product information

We sell Pacific Island groceries, foods, beverages and related goods.

We try to describe and photograph our products accurately, but:

  • packaging, labelling, recipes and product formulations are set by manufacturers and can change without notice to us;
  • colours may appear differently on different screens;
  • product images are indicative and the item supplied may differ in packaging or presentation.

Always read the label on the product you receive. Do not rely solely on information on the Website, particularly where you have allergies, intolerances or dietary requirements.

Nothing on the Website is health, medical, dietary or nutritional advice.

5. Availability

All products are subject to availability. We may limit the quantity of any item available to a customer or an order.

Where an item you have ordered is unavailable, we will contact you and offer a substitute, a partial fulfilment, or a refund of that item.

6. Prices and GST

All prices are shown in Australian dollars (AUD).

Delivery charges are additional and are calculated and shown at checkout before you pay.

We may change prices at any time. A price change will not affect an order we have already accepted.

If a product is listed at an obviously incorrect price due to a typographical or system error, we are not obliged to supply it at that price. We will contact you, and you may confirm the order at the correct price or cancel it for a full refund.

7. Orders

Your order is an offer to buy. No contract exists until we accept your order.

An automatic order confirmation email acknowledges that we have received your order — it is not acceptance. We accept your order when we dispatch it, or when we tell you we have accepted it.

We may decline an order, in whole or in part, where:

  • the item is unavailable;
  • we cannot verify your payment or delivery details;
  • we cannot lawfully supply the item to your delivery address (see section 10);
  • we reasonably suspect fraud or a breach of these Terms;
  • a pricing or description error has occurred.

If we decline an order you have already paid for, we will refund you in full.

8. Payment

We accept the payment methods shown at checkout. Payment must be received in full before dispatch.

Payments are processed by third-party payment providers. We do not store your full card details.

You warrant that you are authorised to use the payment method you provide.

9. Delivery

We deliver within Australia. 

Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, weather, or events outside our reasonable control.

Risk and title. Risk in the goods passes to you on delivery. Title passes to you when we have received payment in full.

Authority to leave. If you or your carrier instructions authorise the carrier to leave a parcel without a signature, the goods are at your risk once left at the nominated address.

Incorrect addresses. If a parcel is returned to us because the delivery address you provided was incorrect or incomplete, we may charge you the cost of re-delivery.

Damage or non-delivery. Please tell us within [NUMBER] days of the expected delivery date if your order does not arrive or arrives damaged, so we can investigate with the carrier.

10. Restricted products — Kava

Where we offer kava products, the following additional terms apply and prevail over anything inconsistent elsewhere in these Terms.

  • Kava is sold for use as a food only. We make no therapeutic, medicinal or health claims about kava, and nothing on the Website should be read as one.
  • You must be 18 years or over to purchase kava. We may require proof of age and may refuse or cancel an order where age cannot be verified.
  • We do not deliver kava to the Northern Territory. Orders for kava with a Northern Territory delivery address will be cancelled and refunded.
  • You are responsible for ensuring that receiving and possessing kava is lawful in your location. Laws differ between states, territories and countries and can change.
  • Kava should not be consumed with alcohol. You should not consume kava if you are pregnant or breastfeeding, have a liver condition, or are taking medication, without first speaking to a qualified health practitioner.
  • Do not drive or operate machinery after consuming kava.

11. Perishable and food items

Some items we sell are perishable or have limited shelf life.

  • Check your order on arrival and refrigerate or store items as directed on the packaging.
  • For food-safety reasons we cannot accept returns of perishable goods, or of any food item where the packaging has been opened, unless the item is faulty or not as described.
  • This does not limit your rights under the Australian Consumer Law (see section 12).

12. Your rights under the Australian Consumer Law

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they are not of acceptable quality and the failure does not amount to a major failure.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that applies to you under the Australian Consumer Law and cannot lawfully be excluded.

Faulty, damaged or incorrect items

If an item arrives faulty, damaged, or is not what you ordered, contact us at [EMAIL] within [NUMBER] days of delivery with your order number and photographs. We will arrange a replacement, refund or repair as appropriate.

Change of mind

We do not offer refunds or exchanges for change of mind.

Refunds are made to the original payment method.

13. Cancelling an order

You may ask us to cancel an order before it is dispatched and we will do so where we reasonably can. Once an order has been dispatched it cannot be cancelled, and section 12 applies instead.

14. Intellectual property

All content on the Website — including text, product descriptions we have written, graphics, logos, images and the Bula Basket name — is owned by us or our licensors and is protected by copyright and trade mark law.

You may view and print content for your own personal, non-commercial use. You may not reproduce, republish, sell, or commercially exploit any part of the Website without our written permission.

Third-party brand names and product images remain the property of their respective owners and are used to identify the goods we sell.

15. Acceptable use

You must not:

  • use the Website for any unlawful purpose;
  • attempt to gain unauthorised access to the Website or its systems;
  • introduce malicious code, scrape the Website, or place automated or fraudulent orders;
  • resell our products in a way that misrepresents them or breaches any applicable law;
  • post or transmit content that is defamatory, offensive, misleading or infringes another person's rights.

16. Reviews and submissions

If you submit a review, comment or other content to the Website, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and display it in connection with our business.

You confirm the content is your own, is accurate, and does not infringe anyone else's rights. We may remove content at our discretion.

17. Third-party links

The Website may link to third-party websites. We do not control them, are not responsible for their content, and a link is not an endorsement.

18. Liability

This section applies subject to section 12. Nothing here limits your rights under the Australian Consumer Law.

To the maximum extent permitted by law:

  • the Website and its content are provided on an "as is" basis;
  • we do not warrant that the Website will be uninterrupted, error-free or free of harmful components;
  • we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or business opportunity;
  • where our liability can lawfully be limited, our total liability in connection with any product is limited, at our option, to replacing the product, supplying an equivalent product, or refunding the price you paid for it.

19. Indemnity

You agree to indemnify us against any claim, loss, liability or cost arising from your breach of these Terms, your misuse of the Website, or your breach of any law in connection with goods you purchase from us.

20. Privacy

We handle your personal information in accordance with our Privacy Policy.

21. Events outside our control

We are not liable for any failure or delay in performing our obligations where that failure or delay results from events outside our reasonable control, including natural disasters, epidemics, industrial action, carrier failures, supply chain disruption, import restrictions, or government action.

22. General

Severability. If any part of these Terms is found to be unenforceable, the rest continues to apply.

No waiver. If we do not enforce a right under these Terms, that is not a waiver of that right.

Assignment. You may not transfer your rights under these Terms without our consent. We may assign ours in connection with a sale or restructure of our business.

Entire agreement. These Terms, together with our Privacy Policy and any policies referred to on the Website, form the entire agreement between you and us in relation to your use of the Website.

Governing law. These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales.
